Crew Member Agreement

Version 1.0 · Effective 26 October 2026 · Draft for legal review

In short. This is the contract between you and us when you join Signal Crew as a creator or clipper. You work as an independent contractor, not an employee. Approval and work are never guaranteed. You choose which campaigns to take. You must label every paid post as an ad, use campaign files only for that campaign, and never fake views. We verify views before paying. Earnings are paid after a hold period, by UPI or bank transfer to your own account, after you give us your PAN. Tax is deducted where the law requires. Either of us can end this at any time.

This Crew Member Agreement ("Agreement") is between you and VATSALAYA RASA PRIVATE LIMITED (CIN U85306DL2024PTC425706, registered office WZ-1324, Rani Bagh, Pitampura, Delhi 110034), which runs Signal Crew through its brand Signal House ("we", "us"). It adds to our Terms of Use. Words defined in the Terms have the same meaning here.

1. Acceptance and scope

1.1 You accept this Agreement when you tick the declarations in your application or in the Platform. Ticking those boxes is a valid electronic acceptance, and the contract formed is enforceable under section 10A of the Information Technology Act, 2000.

1.2 Parts of this Agreement about screening (section 3) apply from the time you apply. The rest applies once we approve you as a crew member.

1.3 Each Campaign you accept also has a brief with its own terms (rates, rules, dates). The brief forms part of this Agreement for that Campaign.

2. Our relationship

2.1 You are an independent contractor. Nothing in this Agreement makes you our employee, worker, partner, joint venturer or agent, or the employee or agent of any Client.

2.2 You decide how, when and where you create content, within the brief. You use your own equipment and bear your own costs, unless a brief says otherwise.

2.3 You cannot sign contracts, make promises or speak on behalf of us or any Client, except to post the approved Campaign content.

2.4 You are not exclusive to us. You may work with anyone else, including other platforms and brands, unless a specific Campaign brief that you accept sets an exclusivity or category restriction for a stated period.

2.5 You are not entitled to salary, provident fund, gratuity, leave, insurance or any other employee benefit from us.

3. Screening and waiting list

3.1 After you apply, we review your profile, your accounts and their public metrics, and, if you connect them, your account insights. We may also call or message you.

3.2 We decide, at our discretion, who is approved, who is placed on a waiting list, and who is not approved. We do not have to give reasons, but we will not discriminate on grounds prohibited by law.

3.3 Approval does not guarantee any Campaign, any volume of work or any earnings. We decide which approved members are offered which Campaigns, based on factors such as fit with the brief, categories, language, location, past performance and reliability.

3.4 You may be asked to re-verify your details or accounts at any time.

4. How campaigns work

4.1 Types of Campaign.

TypeHow it worksHow you are paid
Open campaignShown to eligible members. You choose whether to join and post.Per 1,000 verified views, at the rate in the brief. A post must reach the stated minimum views to earn. Earnings per post stop at the cap per post. The Campaign ends when its budget is used up or its end date passes, whichever is first.
Invited assignmentOffered to you directly for specific deliverables.A fixed fee stated in the offer, once the deliverables are completed and verified.
Live-event assignmentAttending or covering an event, in person or online, with specific deliverables.A fixed fee stated in the offer, unless the brief says otherwise.

4.2 Accepting and declining. You are free to accept or decline any Campaign. Once you accept, you must deliver as the brief says. If you can no longer deliver, tell us as early as possible through the Platform.

4.3 In motion. When you start work on an accepted Campaign, mark it "in motion" in the Platform. We may reassign or cancel your slot if you do not mark it in motion, or do not deliver, by the deadline in the brief.

4.4 Draft approval. Where a brief requires approval, upload your draft before posting and post only after it is approved. Post the approved version without changes, unless we agree otherwise.

4.5 Deadlines. Post within the window and keep the post live for at least the period stated in the brief. Content posted outside the window, or removed early, may earn nothing.

4.6 Submitting proof. Submit the post link and any screenshots the brief asks for, such as insights and the paid-partnership label.

4.7 Changes by us. A Client may pause, change or end a Campaign. If that happens, we will tell you. For open campaigns, verified views earned up to the pause or end will still be paid under section 11. For invited and live-event assignments cancelled by us or the Client after you have started, we will pay a fair proportion of the fee for work already done, as stated in the brief or, if the brief is silent, as we reasonably decide.

5. Use of campaign materials

5.1 We may give you Campaign materials, such as video files, footage, images, logos, music licensed for the Campaign, scripts and talking points.

5.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to use those materials only to create and post content for that Campaign, during the Campaign period, on the accounts approved for it.

5.3 You must not: use the materials after the Campaign ends or for any other purpose; share them with anyone; edit them in a way that misrepresents the Client, a product or any person; take quotes out of context; or add claims not in the brief.

5.4 We may revoke this licence at any time. When asked, you must take down the content and delete the materials.

6. Confidentiality

6.1 Briefs, rates, Client identity, unreleased products, Campaign results and any non-public information we share are confidential.

6.2 Keep it confidential, and use it only to take part in the Campaign. You may disclose a Client's identity once the Campaign is public, and only to the extent shown in the published content.

6.3 This duty does not cover information that is already public through no fault of yours, or that the law or a court requires you to disclose (tell us first where lawful).

6.4 This section continues for 2 years after this Agreement ends.

7. Licence you grant

7.1 You own the content you create for a Campaign, except the Campaign materials in it.

7.2 You grant us and the relevant Client a non-exclusive, royalty-free, worldwide licence to: (a) reference the content in reports and case studies; (b) repost or share the content on our and the Client's own channels, with credit to you; and (c) use your handle and public metrics for the post in Campaign reporting.

7.3 Partnership and boosted ads. Only if you separately opt in for a Campaign, you also allow us and the Client to run your post as a partnership ad, branded content ad or boosted post, and to receive the access codes or permissions this needs, for the Campaign period stated in the brief. You may decline this without affecting your participation unless the brief makes it a stated condition before you accept.

7.4 You waive any moral rights under section 57 of the Copyright Act, 1957 only to the extent needed for the uses above, and not to allow distortion or mutilation of your work.

8. Ad disclosure (ASCI)

8.1 Every Campaign post is advertising. You must disclose it clearly, as required by the Advertising Standards Council of India (ASCI) Guidelines for Influencer Advertising in Digital Media and the Consumer Protection Act, 2019.

8.2 Use the platform's paid-partnership tool (where available and the brief asks for it) and an upfront disclosure label in the caption or on the video, such as #ad or #collaboration. The full how-to is in our Content & Conduct Guidelines.

8.3 Keep the disclosure on the post for the entire life of the post. Do not remove or edit it later.

8.4 A post without proper disclosure earns nothing until fixed, and repeated failures may lead to removal.

9. Content standards and anti-fraud

9.1 All content must follow our Content & Conduct Guidelines, the brief, the community guidelines of the platform you post on, and Indian law.

9.2 Fraud is not allowed. You must not use or allow: bots or automated accounts; bought or paid views, likes or followers; engagement pods or groups that trade views; view farms or click farms; repeated self-viewing or device tricks; or edited, cropped or misleading screenshots or metrics.

9.3 If we reasonably find that a post involves fraud: (a) that post earns nothing; (b) we may claw back any amount already paid for fraudulent views, under section 12; (c) we may withhold other unpaid earnings linked to the fraud; and (d) we may remove you from the Campaign and the Platform.

10. Verifying views

10.1 We count only verified views. We verify using any of: our own records; data from the platform's insights; data from accounts you have connected; screenshots you submit; and public metrics.

10.2 Views counted by the platform after the Campaign's counting window (stated in the brief) are not counted.

10.3 If sources differ, we decide which figure is reliable, acting reasonably. You may ask us to review a figure under section 11.8. After that review, our determination is final, subject only to section 18.

11. Payments

11.1 Calculation. For open campaigns: earnings = verified views × rate ÷ 1,000, subject to the minimum views and the cap per post. For assignments: the fixed fee. Details and examples are in Payouts, Fees & Tax.

11.2 Hold period. Earnings stay on hold for the period stated in each Campaign brief, to allow verification. After the hold, approved earnings become available.

11.3 Minimum payout. You can request a payout once your available balance reaches the minimum shown in the Platform (currently ₹500).

11.4 Method. We pay by UPI or bank transfer, only to an account in your own name. We do not pay to third-party accounts or in cash.

11.5 PAN. You must give your PAN and your name as on PAN before your first payout. We may verify these.

11.6 Tax. We deduct tax at source (TDS) where the Income-tax Act, 2025 requires it, and issue TDS certificates. You are responsible for your own income tax and, if you are registered or required to register, GST. Amounts shown in the Platform are what we will pay you before TDS. If you are GST-registered, tell us before your first payout so we can agree how GST is invoiced (see Payouts).

11.7 No payment to minors. We do not pay anyone under 18. If we find a member is under 18, the Account will be closed and the data handled as per our Privacy Policy.

11.8 Disputes. Raise any payment or view-count dispute within 30 days of the payout or of the figure being shown, as explained in Payouts.

11.9 You never pay us anything to join or to receive work.

12. Set-off and clawback

12.1 If we paid you an amount you were not entitled to (for example, due to fraud, an error, or a post removed before its required live period), we may recover it by deducting it from your future earnings.

12.2 If future earnings are not enough, you must repay the amount within 15 days of our written request. We may also use other lawful means to recover it.

13. Your data

13.1 We handle your personal data as described in our Privacy Policy.

13.2 Clients see only what they need for their Campaign: your public handle, post links and Campaign metrics. They never see your PAN, bank details, phone number or date of birth unless you agree.

13.3 If you receive any personal data of others through a Campaign, use it only for that Campaign and protect it.

14. Term and termination

14.1 This Agreement starts when you accept it and continues until either of us ends it.

14.2 You may end it at any time by closing your Account or emailing us. Please complete or withdraw from accepted Campaigns first.

14.3 We may end it at any time by notice, including for breach, fraud, inactivity or a business decision.

14.4 On termination: (a) earned and approved amounts are paid after their hold period ends, subject to the minimum payout being waived for a final payout; (b) amounts linked to fraud are forfeited and section 12 applies; (c) you must stop using Campaign materials and confidential information.

14.5 Sections 5.3–5.4, 6, 7 (for content already posted), 9.3, 10.3, 12, 15, 16 and 18 continue after termination.

15. Liability

15.1 To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, followers or opportunity.

15.2 To the extent the law allows, our total liability to you under or in connection with this Agreement is limited to the total amounts we paid you in the 3 months before the event giving rise to the claim.

15.3 This section does not limit liability for fraud or for amounts you have validly earned and that remain unpaid.

16. Your indemnity

16.1 You will indemnify us and our Clients against losses, penalties, costs and reasonable legal fees arising from: your content (except Campaign materials used as briefed); your breach of this Agreement, the Guidelines or the law (including ASCI disclosure duties and the Consumer Protection Act, 2019); and any claim that your content infringes someone's rights.

17. Assignment and general

17.1 You may not assign or subcontract this Agreement or any Campaign. Content must be created and posted by you on your approved accounts.

17.2 We may assign this Agreement to a group company or a buyer of our business, with notice to you.

17.3 We may update this Agreement as described in section 15 of the Terms. Changes do not affect Campaigns you have already accepted, unless the law requires.

17.4 Sections 18 (General) and 17 (Notices) of the Terms also apply to this Agreement.

18. Governing law and disputes

18.1 This Agreement is governed by the laws of India. Disputes will be handled as set out in section 16 of the Terms of Use: good-faith discussion for 30 days, then arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator, with seat and venue at New Delhi, in English, and courts at New Delhi for interim relief.
